Purpose of the Job:

To assist the Group Company Secretary with all the Company Secretarial functions in ensuring that the company complies with legal, regulatory and corporate governance requirements. The role is administrative and advisory in nature, often acting as a key link between the Board of directors, management and stakeholders.


Critical Deliverables /Core Accountabilities and Responsibilities:

  • Assist in managing Board induction, director appointments, training, and capacity‑building initiatives
  • Assist in ensuring the company conforms to the highest standards of corporate governance by developing appropriate frameworks and processes
  • Assist in developing the annual work plan and calendars for the Board and its sub‑committees
  • Assist in preparing agendas and board packs, and in taking accurate minutes
  • Assist in managing Company Secretarial risks
  • Perform any governance‑related duties as directed by the Company Secretary: Legal Affairs
  • Ensure that Board procedures are followed and reviewed regularly
  • Ensure compliance with rules and regulations governing the affairs of the Board
  • Assist with maintaining statutory records in accordance with legal requirements
  • Assist in providing guidance and support to the Board
  • Keep abreast of, and inform the Board about, current corporate‑governance thinking and practices
  • Assist in providing legal advice to the Board on all legal and regulatory matters, including regulatory filings and public disclosures
  • Ensure that Board charters and the terms of reference for Board committees are kept up to date
  • Assist with the evaluation of the Board, its committees, and individual directors

Minimum requirements

  • Grade 12, 25 points.
  • LLB and or a relevant degree in Accounting & Finance qualification.
  • Admission as a legal Practitioner will be an added advantage.
  • Minimum 5 years in a company secretarial/ corporate or banking environment of a legal/governance/compliance /risk nature.
  • At least 3 years’ experience should be in Board pack preparation and minute taking.
